ClassifyRight Terms of Service

Effective date: October 22, 2026

These Terms of Service ("Terms") govern your use of getclassifyright.com and the ClassifyRight membership (together, the "Service"), provided by YYYY2 Corp., a Delaware corporation headquartered in Washington ("ClassifyRight," "we," "us"). By using the Service or buying a membership, you agree to these Terms. If you agree on behalf of a company, you confirm you have authority to bind it, and "you" means that company.

1. What ClassifyRight is

ClassifyRight is compliance software that helps businesses assess and document whether workers should be classified as employees (W-2) or independent contractors (1099). We apply federal and state classification tests to the information you provide and give you our assessment, reasoning, suggested changes and records.

2. Not legal or tax advice

ClassifyRight is not a law firm or an accounting firm, and the Service is not legal, tax or accounting advice. Using the Service does not create an attorney-client, accountant-client or other professional relationship. Our assessments are informational, depend entirely on the accuracy and completeness of what you tell us, and reflect our understanding of the rules on the date of the assessment. Laws and their interpretation change and vary by jurisdiction, and government agencies and courts may reach different conclusions. You are responsible for your classification decisions. For borderline or high-stakes decisions, consult a qualified employment attorney or tax professional.

3. Eligibility

You must be at least 18 years old and use the Service for business purposes. The Service covers work performed in the United States.

4. Membership, billing and cancellation

  • A membership costs $199 per month, plus any applicable taxes, and covers up to 25 contractors. The price shown on the website at the time of purchase applies.
  • Your membership renews automatically each month. We charge your payment method at the start of each billing period until you cancel.
  • You can cancel at any time using the link in your welcome email. Cancellation takes effect at the end of the current billing period, and you keep access until then.
  • Refunds: We do not offer refunds, but if you have a concern with our product or service, let us know and we'll do our best to make it right.
  • We may change the price with at least 30 days' notice by email. A new price applies from your first billing period after the notice period, and you may cancel before then.
  • Payments are processed by Stripe. We do not store your full card number.

5. Your information and responsibilities

  • Give us accurate, complete and current information, and tell us when a role changes.
  • Submit only information you have the right to share, including information about your workers, and follow the laws that apply to it.
  • Do not submit Social Security numbers, bank or card numbers, medical information or other sensitive personal information that a classification assessment does not need.
  • Keep the links we send you (such as intake and update links) private. Anyone with a link may be able to submit information to your account.

6. Reports and records

We deliver classification files, fix lists and other materials ("Reports") by email. While you follow these Terms and pay your fees, you may use Reports for your internal business purposes and share them with your advisors, auditors, insurers, lenders and prospective acquirers. You may not resell Reports or present them as legal advice or as the opinion of a licensed professional.

7. Acceptable use

Do not use the Service unlawfully; interfere with it or access it without authorization; scrape, copy or reverse engineer it; or use it to build a competing product.

8. Our intellectual property

The Service, website, software, templates and content belong to us or our licensors and are protected by law. You receive only the rights stated in these Terms. If you send us feedback, we may use it without any obligation to you.

9. Third-party services

The Service relies on third parties, such as payment processing and email delivery. Their services are governed by their own terms, and we are not responsible for them.

10. Disclaimers

THE SERVICE AND REPORTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY ASSESSMENT WILL BE ACCEPTED BY THE IRS, THE U.S. DEPARTMENT OF LABOR, ANY STATE AGENCY OR ANY COURT, OR THAT USING THE SERVICE WILL PREVENT TAXES, PENALTIES, CLAIMS OR OTHER LIABILITY. ESTIMATES ON OUR WEBSITE ARE ILLUSTRATIVE ONLY.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE OR DATA; OR TAXES, PENALTIES, INTEREST, WAGES, BENEFITS OR OTHER AMOUNTS YOU OWE TO ANY GOVERNMENT OR WORKER, EVEN IF WE WERE ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnity

You will defend and indemnify us against third-party claims, including claims by your workers or government agencies, arising from your classification decisions, the information you submit, or your breach of these Terms.

13. Suspension and termination

We may suspend or end your access if you breach these Terms or do not pay. You may stop using the Service at any time. Sections 2, 6, 8 and 10 through 15 continue to apply after your membership ends.

14. Governing law and disputes

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-law rules. Any dispute will be resolved only in the state or federal courts located in King County, Washington, and both parties consent to those courts' jurisdiction.

15. Changes and general terms

We may update these Terms by posting a new version with a new effective date. We will email members about material changes at least 30 days before they take effect, and continued use after that means you accept them. If any provision is unenforceable, the rest stays in effect. These Terms are the entire agreement about the Service, and you may not assign them without our written consent.
